Terms and Conditions

1. Service Description

hookVM is a SaaS platform for receiving, processing, transforming, forwarding, testing, inspecting, and delivering webhooks and event-based data.

2. Enterprise Audit Rights

2.1 Audit Rights

Enterprise Customers may audit the Company's compliance with applicable data protection and security obligations solely as they relate to Customer Data.

2.2 Conditions

Audits must:

• Be requested in writing with at least thirty (30) days' prior notice
• Occur no more than once per twelve (12) month period
• Be conducted during normal business hours
• Not unreasonably interfere with Company operations
• Be subject to confidentiality obligations

2.3 Alternative Assurance

The Company may, at its discretion, satisfy audit requirements by providing:

• SOC 2 Type II reports
• ISO 27001 certification
• Independent third-party security assessments

3. Security Addendum

3.1 Security Program

The Company maintains administrative, technical, and organizational safeguards aligned with industry best practices, including:

• Encryption of data in transit
• Logical access controls and authentication
• Infrastructure and application monitoring
• Incident detection and response procedures

3.2 Security Incidents

The Company shall notify the Customer without undue delay upon becoming aware of a confirmed security incident involving Customer Data and shall provide reasonable information necessary to support compliance obligations.

3.3 Shared Responsibility

Customers are responsible for securing their own systems, credentials, API keys, and endpoints.

4. Data Protection

Customer Data is processed in accordance with the Privacy Policy and applicable Data Processing Addendum (DPA). The Customer acts as data controller; the Company acts as data processor.

5. Subscriptions and Fees

Access to the Service is subject to subscription plans, usage limits, and pricing agreed upon at the time of purchase. Fees are non-refundable except where required by law.

6. Intellectual Property

The Service and all related intellectual property remain the exclusive property of the Company. Customers receive a limited, non-exclusive, non-transferable license to use the Service during the subscription term.

7. Limitation of Liability (By Plan)

7.1 General Limitation

To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, special, consequential, or punitive damages.

7.2 Liability Caps

The Company's total aggregate liability shall be limited as follows:

• Free or Trial Plan: USD 100
• Paid Standard Plans: Fees paid by Customer in the twelve (12) months preceding the claim
• Enterprise Plans: Fees paid by Customer in the twelve (12) months preceding the claim, unless otherwise agreed in writing

7.3 Exclusions

Liability caps do not apply to:

• Willful misconduct or gross negligence
• Breach of confidentiality obligations
• Violations of applicable data protection laws to the extent liability cannot be limited

8. Termination

Either party may terminate the subscription in accordance with plan terms. Upon termination, access will cease and Customer Data will be handled per the Privacy Policy.

9. Confidentiality

Each party agrees to protect the other's confidential information using reasonable care and to use it solely for purposes of performing under these Terms.

10. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied.

11. Governing Law

These Terms shall be governed by the laws specified in the applicable Order Form or, if none, the laws of India, with courts of New Delhi having exclusive jurisdiction.
